As part of our corporate law practice, we assist in particular with the design and implementation of holding structures and the formation and dissolution of companies. In addition, we advise and represent management and supervisory bodies within companies and groups as well as in dealings with authorities, courts and other third parties. Our core activities also include representing shareholders in corporate law disputes and conflicts, including before state courts, in arbitration proceedings and at disputed shareholder and general meetings. We also assist our clients in the negotiation and implementation of complex contracts.

We have many years of experience in supporting national and cross-border M&A transactions in various business and industry sectors. Our ongoing activities include setting up structured transaction processes, the interdisciplinary implementation of due diligence – legal only or as a one-stop-shop service from a single source with Deloitte’s tax and financial advisory experts – as well as the drafting and negotiation of company purchase agreements. This also includes advising on distressed M&A transactions in close cooperation with our restructuring experts and the corresponding experts from the Deloitte and Deloitte Legal network.

We advise our clients in all areas of real estate law. Our practice focuses in particular on large-volume national and international real estate transactions of all asset classes, development projects, real estate financing transactions and restructurings, public real estate law, tenancy and residential law including property development contract law, and public real estate law.

The day-to-day business of advising private clients covers a wide range of legal areas: Corporate law, transaction advice, real estate law, general contract law, banking and financing law and employment law, through to niche matters such as residence and citizenship law.
